WAWP Affiliate Terms of Use

Effective Date: July 2025

Please read these Affiliate Terms of Use (“Terms”) carefully. By enrolling in or participating in the Wawp.net Affiliate Program (“Program”), you agree to be bound by these Terms, our General Terms of Service and Privacy Policy. If you do not agree, do not join or use the Program.

1. Definitions

• Affiliate, you, your: Any individual or entity approved to participate in the Program.

• Program: WAWP’s affiliate marketing initiative, enabling Affiliates to earn commissions on referrals and sales.

• Referral: A new user who registers on Wawp.net via your unique affiliate link or code.

• Qualified Referral: A Referral that meets all verification, compliance, and anti-fraud requirements.

• Sale: A completed transaction (paid invoice) for WAWP products or services traceable to your link.

• Net Revenue: Total amount paid by referred customers, less refunds, chargebacks, taxes, and transaction fees.

• Commission: The monetary reward due to you for each Qualified Referral or Sale.

2. Enrollment & Account Setup

1. Eligibility Criteria

   • Must be at least 18 years old (or majority age in your jurisdiction).

   • Provide accurate personal and/or business details (name, address, tax ID).

   • Maintain a valid, active email address and website or social-media presence.

2. Application Process

   • Complete the online application at wawp.net/affiliate.

   • WAWP may request additional documentation (e.g. business registration, traffic reports).

3. Approval & Onboarding

   • Upon approval, you’ll receive a unique affiliate link, banner ads, and marketing materials.

   • You must accept any further program policies or brand guidelines WAWP publishes.

3. Affiliate Responsibilities

1. Marketing Practices

   • Use only WAWP-approved creatives; do not alter logos, trademarks, or promotional copy.

   • Promote ethically and transparently—clearly disclose your affiliate relationship per FTC or local regulations.

   • Do not engage in paid search bidding on WAWP trademark terms without prior written consent.

2. Compliance

   • Comply with all applicable laws (advertising, data protection, anti-spam, consumer protection).

   • Adhere to WhatsApp’s Terms of Service and any third-party platforms you use for promotion.

3. Prohibited Activities

   • No cookie-stacking, link cloaking, bot traffic, or unsolicited spam.

   • No incentive-based referrals unless explicitly allowed by WAWP (e.g. “Sign up and get €5” promotions).

   • No negative or misleading statements about competitors or WAWP’s services.

4. Tracking, Reporting & Qualification

1. Attribution Mechanism

   • WAWP uses first-click or last-click cookie tracking (90-day duration) and unique codes for attribution.

2. Qualified Referral Criteria

   • Referral registers via your link, completes onboarding (linked WhatsApp number and website), and passes KYC checks.

   • No self-referrals, duplicate accounts, or evidence of fraudulent behavior.

3. Sale Qualification

   • Only paid, non-refunded, non-chargeback Sales within the cookie window qualify.

   • Net Revenue is used for commission calculation—refunds or chargebacks will claw back commissions if already paid.

4. Reporting & Dashboard

   • Affiliates have real-time access to dashboard reports (clicks, signups, Sales, commissions).

   • Discrepancies must be raised within 60 days or commissions will be deemed accurate.

5. Commission Structure & Payments

1. Commission Types

   • Signup Reward: €0.10 per Qualified Referral.

   • Sales Commission: 20% of Net Revenue from referred Sales.

2. Payment Threshold & Timing

   • Minimum payout threshold: €20.00 in your WAWP wallet.

   • Instant methods (e.g. Vodafone Cash): processed immediately upon request.

   • Deferred methods (e.g. PayPal): may require up to 72 hours for confirmation.

3. Currency & Fees

   • All payments are in EUR. Any currency conversion fees are borne by you.

4. Requesting & Receiving Payouts

   • Submit a payout request via your dashboard once threshold is met.

   • Ensure payout details (phone number, PayPal email) are accurate; WAWP is not liable for errors due to incorrect data.

6. Verification, Audits & Fraud Prevention

1. Ongoing Verification

   • WAWP may periodically audit your traffic sources, KYC documents, and marketing practices.

2. Fraud Detection

   • Any manipulation of clicks, registrations, or Sales (e.g. bots, fake accounts) is strictly prohibited.

3. Consequences of Fraud

   • First Offense: Immediate withholding of suspicious commissions, investigation, and potential reversal.

   • Second Offense: Suspension of account pending review.

   • Severe or Repeated Offenses: Permanent termination of Program participation and legal action if warranted.

4. Right to Claw Back

   • Within 12 months of payment, WAWP may recalculate, adjust, withhold, or reclaim commissions if irregularities surface.

7. Intellectual Property & Brand Guidelines

• Affiliates are granted a limited, non-exclusive license to use WAWP’s trademarks and marketing materials solely for Program promotion.

• You must follow WAWP’s latest Brand & Creative Guidelines; misuse may result in loss of privileges or termination.

8. Confidentiality & Data Protection

• Affiliates may have access to non-public Program performance data; you must keep such information confidential.

• Any personal data collected via your marketing efforts must be handled per GDPR and other applicable data-protection laws.

9. Termination & Suspension

1. By WAWP:

   • For cause (breach of Terms, fraud, or misuse).

   • Without cause, with 14 days’ notice.

2. By Affiliate:

   • You may opt-out of the Program at any time via dashboard or by emailing support@wawp.net.

3. Effect of Termination:

   • Forfeiture of all unpaid commissions for unverified or disputed referrals/Sales.

   • Immediate cessation of use of affiliate links, trademarks, and marketing materials.

10. Representations & Warranties

You represent and warrant that:

• Your promotional methods comply with these Terms and all applicable laws.

• You have full right and authority to enter into this Agreement and perform your obligations.

• All information you provide to WAWP is truthful, accurate, and complete.

11. Indemnification

You agree to indemnify, defend, and hold harmless WAWP and its affiliates, officers, directors, and employees from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your breach of these Terms or your marketing activities.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAWP’S TOTAL LIABILITY UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT SHALL WAWP BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of England & Wales. Any dispute arising under or relating to these Terms shall be resolved exclusively by the courts of England & Wales.

14. Amendments

WAWP may update these Terms at any time by posting the revised version at https://wawp.net/affiliate-terms. Continued participation after such updates constitutes acceptance of the new Terms.
